TERMS OF SERVICE & MASTER SERVICE AGREEMENT (MSA)

Effective Date: January 1, 2026

1. Agreement to Terms

By accessing https://syncro1.com (the “Platform”) and registering as a Client or Talent Partner, you agree to these legally binding Terms, which constitute the Master Service Agreement (“MSA”).

2. Definitions

  • Platform: The Syncro1 AI-driven recruitment software.
  • Client: An entity posting jobs and hiring via the Platform.
  • Talent Partner/Vendor: A verified recruitment agency sourcing candidates.
  • Candidate: An individual submitted for a job opening.
  • Placement: A Candidate's successful joining at a Client.
  • Commission: The percentage of the Candidate's CTC payable upon Placement.

3. The Syncro1 Model & MSA Terms

3.1 Outcome-Based Engagement

The Client's sole financial obligation is to pay the Commission upon a successful Placement. No fees are charged for job postings, candidate submissions, or interviews.

3.2 Commission & Payment

  • The Commission percentage is agreed upon during Client onboarding and embedded in the digital MSA.
  • An invoice for the Commission is automatically generated upon the Client's confirmation of the Candidate's joining.
  • Payment terms are as specified in the MSA (e.g., Net 7). Late payments may incur interest.

3.3 Talent Partner Payout

Upon Placement, the Talent Partner receives their share of the Commission as per their agreement with Syncro1, after submitting compliant documentation (GST invoice, bank details).

4. User Obligations & Conduct

4.1 Client agrees to:

  • Provide accurate company information and a valid escalation matrix.
  • Use the AI JD Creator and screening tools in good faith.
  • Provide interview feedback within a reasonable timeframe (target 24 hrs).
  • Formally confirm Candidate offer and joining details on the Platform.
  • Pay invoices per the agreed MSA terms.

4.2 Talent Partner agrees to:

  • Submit complete, accurate, and verified Candidate profiles.
  • Obtain explicit Candidate consent prior to submission.
  • Refrain from submitting duplicate or fraudulent profiles.
  • Adhere to all platform communication and tracking protocols.
  • Provide valid GST and banking details for payout.

5. Intellectual Property

The Syncro1 Platform, its software, and proprietary workflows are the exclusive property of Syncro1. Users retain ownership of their data (job descriptions, candidate profiles) but grant Syncro1 a license to process it for Platform operations.

6. Disclaimers & Limitation of Liability

6.1 Service “As Is”

The Platform is provided on an “as available” basis. We do not guarantee uninterrupted or error-free service.

6.2 Candidate & Hire Verification

While Quality Checks are performed, Syncro1 is not liable for the ultimate hiring decision, Candidate performance, or background verification. The Client bears final responsibility for due diligence.

6.3 Limitation

To the fullest extent permitted by law, Syncro1's total liability shall not exceed the total Commission fees paid by the Client in the six (6) months preceding the claim.

7. Termination & Suspension

Syncro1 may suspend or terminate accounts for:

  • Breach of these Terms or the MSA.
  • Fraudulent or unethical activity.
  • Non-payment of invoices.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably, failing which they will be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

9. Amendments

Syncro1 may amend these Terms. Material changes will be communicated via email or Platform notification. Continued use constitutes acceptance.
